Michaeloff, Commercial Leasing
Dawn is a partner of the firm and practises exclusive in the area of
commercial leasing. With over 20 years experience in office, retail
and industrial leasing, she is fully familiar with key issues and
all types of lease transactions. Having come from an in-house
background with two major Canadian real estate companies, she has a
practical, results oriented approach and understands business
practicalities and corporate expectations from external counsel. She
has extensive risk management experience and wrote Insurance and
Risk Management in Commercial Leasing, a practical guide on
insurance and related topics in the context of commercial leasing
that was published by Canada Law Book in 2009.
Prior to joining the firm in 2002, she was Vice President & Counsel
to TD Investment Real Estate for four years where she played a key
role in completing that company’s real estate disposition program
for a diverse retail and office portfolio and renegotiating over a
million and a half square feet of office space for the Bank in the
Toronto Dominion Centre and related towers, transactions that were
recognized under the heading Big Deals – Real Estate in Lexpert,
The Business Magazine for Lawyers. While she was also at that
company, she and her team negotiated and supervised the in-house
production and completion of over 1,000 lease documents. Previously
she was senior legal counsel to The Cadillac Fairview Corporation
Limited in Toronto for ten
years where she developed and negotiated retail leases in
development and existing properties (volume over 700 lease documents
annually) and provided operational advice to the Western Canada and
Ontario portfolios.
Dawn writes and speaks frequently for the International Council of
Shopping Centers, Canadian Bar Association Continuing Education, Law
Society of Upper Canada and Osgoode Hall Professional Development
Program and is a contributing author to Shopping Centre Leases
(2nd edition) and Assignment, Subletting and Change of Control in a
Commercial Lease: A Practical Guide, published in 2009 and 2002 by
Canada Law Book. She is a Board member of CoreNet Global Canadian
Region and active in that organization.
Dawn received a Bachelor of Arts degree from the University of
Regina in 1981 and her law degree from Osgoode Hall Law School in
1985. She was called to the Ontario Bar in 1987.
